today announced that Kenneth August, ALG’s Founder and President,
participated today in a panel discussion on the use of the EB-5
Immigrant Investor Visa Program to finance corporate projects. The
panel was comprised of immigration attorney Kimberley Best Robidoux, of
the San Diego law firm Larrabee, Mehlman, Albi, Coker LLP and Mr.
August. Ms. Robidoux spoke about the history of the EB-5 Immigration
Investor Visa Program, and the immigration law aspects of the Program,
while Mr. August described the factors which US companies must take into
consideration when seeking to finance their projects with EB-5
investment capital.
In his remarks, Mr. August provided certain strategies for structuring
transactions involving EB-5 investor visa capital, and the current
trends for both direct investments and investments through a designated
Regional Center.He informed the group that while compliance with the
immigration law aspects of EB-5 transactions is important, it is equally
important that companies using this investment strategy remember they
are engaging in securities transactions, and the fact that they are
selling the securities in overseas markets, most notably in China, a
proper exemption from the registration requirements of the US securities
laws must be applied. He used case studies from ALG’s own practice,
and also discussed the recent lawsuit SEC v. Chicago Convention Center,
LLC, involving securities fraud by a designated EB-5 Regional Center,
which has had a chilling effect on Regional Center approvals and raises.
